Terms of Service

1. Agreement to these Terms

Cotheke is a commercial lease-tracking platform operated by Cotheke ("Cotheke," "we," "us"). By creating an account, checking the agreement box at signup, or using the service, you agree to these Terms of Service and to our Privacy Policy. If you are accepting on behalf of a company or brokerage, you confirm you have authority to bind that organization, and "you" includes that organization.

2. The Service

Cotheke provides tools for tracking commercial real-estate leases and portfolios — including rent schedules, escalations, renewal options, deadlines, documents, reports, brokerage collaboration, and AI-assisted document extraction. We may improve, add, or modify features over time.

3. Accounts and Seats

  • Each login belongs to one named person. Sharing login credentials is not permitted. Subscriptions are priced per seat and per organization; every person who uses Cotheke needs their own seat.
  • You are responsible for the activity that happens under your accounts and for keeping passwords secure.
  • New accounts are reviewed before activation. We may decline or revoke access to protect the platform or its customers.

4. Subscriptions and Billing

  • Fees are billed monthly at the rates shown in your account. Amounts are due at the start of each billing cycle; the site administrator currently arranges payment with you directly (online billing is coming).
  • Plan upgrades take effect immediately and are billed from the next monthly cycle. A downgrade requested within 30 days of an upgrade takes effect 30 days after the upgrade — the higher tier (and its fee) remains in place until then.
  • Accounts with unpaid balances may be suspended after reasonable notice. Suspension pauses access; it does not delete your data.

5. AI Features and Fair Use

  • AI document extraction (leases, amendments, insurance certificates, proposals) is provided as a drafting aid. AI output can contain errors and must be reviewed against the source document before you rely on it. Cotheke is not a law firm and nothing in the service is legal, financial, or brokerage advice.
  • AI usage allowances attach to the individual seat or plan they belong to. Routing extractions through one account for the benefit of other people or organizations — for example, a single "unlimited" seat uploading documents on behalf of teammates or clients who don't hold seats — is not permitted.
  • We monitor aggregate usage patterns and may throttle, adjust allowances, or suspend accounts that circumvent fair use. We'll reach out before acting except in cases of clear abuse.

6. Your Data

  • You own the data you put into Cotheke — leases, documents, portfolio records, tenant and contact details. You grant us the limited license needed to host, process, back up, and display it in order to run the service (including sending documents you upload to our AI provider for extraction, as described in the Privacy Policy).
  • You are responsible for having the right to upload the documents and personal details you store — including information about tenants, landlords, and contacts.
  • Access inside your organization is controlled by the roles and permissions your owners and admins configure, including any brokerages you link to your account.

7. Acceptable Use

You agree not to:

  • probe, disable, or circumvent security or access controls, or access data belonging to other customers;
  • use the service to store or transmit unlawful content, malware, or content that infringes others' rights;
  • resell, sublicense, or provide the service to third parties except through features built for that purpose (such as brokerage-client collaboration);
  • scrape, bulk-export, or reverse-engineer the platform other than through the export features provided.

8. Termination

You may stop using the service and request account deletion at any time from your account settings. We may suspend or terminate accounts that materially violate these Terms or leave balances unpaid. On termination we retain data for a reasonable wind-down period so it can be exported or restored, after which it is deleted in the ordinary course.

9. Disclaimers

The service is provided "as is" and "as available." We do not warrant that it will be uninterrupted or error-free, or that AI-extracted values, calculated rents, dates, or reports are accurate or complete. You are responsible for verifying critical dates, amounts, and obligations against your source documents.

10. Limitation of Liability

To the fullest extent permitted by law, Cotheke will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost deals, or missed lease deadlines. Our total liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim arose.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and continued use of the service after changes take effect constitutes acceptance.

12. Governing Law and Contact
